IT-Related Highlights

  • Represented patent holder of key telephone technology in licensing major cell phone manufacturers around the world, including Motorola, Nokia, Siemens, Samsung, Toshiba and others. Representation included travel to Korea, Japan, and Europe for direct negotiation.
  • Represented US software companies in establishing development relationships with Russian development companies, including trips to Russia to audit Russian companies for IP practices.
  • Represented Israeli software companies in OEM transactions in the Netherlands and implementation projects in Romania, Malta and India.
  • Represented US software company in IP due diligence matters in serial venture capital transactions ($3 million and $7 million). Involved extensive review of open-source and proprietary code.
  • Represented US software company in establishing Japan-based Asian joint reseller operation with Kyocera, Ltd.
  • Represented US software company in establishing relationship with Ukrainian development companies, including IP practices audit for software included in virtualization products.
  • Representation of Irish software company licensing its products to major insurance companies worldwide.
  • Representation of Irish software company licensing its products to U.S. banks and other financial service companies.

Non-IT Related Highlights

  • Outside counsel to US transportation company in $10 million+ acquisition that included IP due diligence relating to software products and proprietary processes.
  • Outside general counsel to a multi-million dollar consumer cooperative and then took the cooperative private, converting the entity from a cooperative structure to an LLC.

Public Interest Work

  • Work for The Maine Heritage Policy Center has included drafting legislation, investigating state bureaucracies, legislative testimony and litigation.  Currently litigating in federal court against the Maine Municipal Association for illegal electioneering in 5 referendum campaigns.
